股權的本質是一種共識經常有客戶咨詢我，他們要和某公司合作，如何分配股權才合理？其實股權分配的本質就是項目核心資源要素權重占比，達成的共識最終的數字體現。三個關鍵詞，核心資源要素，權重占比，共識。具體股權分配的決策過程可以分為三步：
The essence of equity is a consensus. I often receive inquiries from clients about how to allocate equity reasonably when they want to cooperate with a certain company? In fact, the essence of equity distribution is the proportion of core resource elements in the project, and the final consensus reached is reflected in the number. Three keywords, core resource elements, weight proportion, and consensus. The decision-making process for specific equity distribution can be divided into three steps:
第一步，提煉出項目核心資源要素。
The first step is to extract the core resource elements of the project.
第二步，就是對核心資源要素進行重要程度打分，就是分配權重。
The second step is to score the importance of core resource elements, which is to allocate weights.
第三步，就是項目方對項目核心資源要素占比權重進行最終共識。決定股權分配比例。
The third step is for the project party to reach a final consensus on the proportion and weight of core resource elements in the project. Determine the proportion of equity distribution.
比如你是一家出海運營公司，
For example, if you are an overseas operation company,
現在有一個產品公司想和你們合作共同開發某個海外市場，你出的資源要素是運營（相關經驗積累，資源，人力等），產品公司出的是產品，還有一個資源要素是項目啟動資金，具體看誰出，出多少。你們對這三個資源要素進行權重劃分，進行激烈討論并達成最終的共識具體權重劃分，比如運營占比百分之50，原始出資占比百分之20，產品占比百分之30。這就完整的股權分配決策過程。

It depends on who provides and how much they provide.
