設計院的持股員工范圍一般應包括公司董事、中高層管理人員、核心技術人員及業務骨干和其他公司董事會認為對公司發展有重要作用的人員。一般來說公司董事、中高層管理人員和骨干員工的持股比例按4:3:3的結構設置,既可以有效激勵員工,又可以保障公司股權結構的穩定性。

設計院的員工持股方式主要有自然人持股和有限合伙企業持股兩種方式。自然人持股是指員工股東直接持有設計院的股份,股權結構簡單明了,一般適用于股東較少的設計院。有限合伙企業持股是指持股員工出資設立有限合伙企業,通過持有有限合伙企業合伙份額的方式間接持有企業股權。持股平臺不從事除持股以外的任何經營活動。一般適用于股東員工超過50人的設計院。
The employee shareholding methods of the design institute mainly include natural person shareholding and limited partnership enterprise shareholding. Natural person shareholding refers to employee shareholders directly holding shares in a design institute, with a simple and clear equity structure, generally applicable to design institutes with fewer shareholders. Limited partnership shareholding refers to the establishment of a limited partnership enterprise by employees who hold shares, indirectly holding the equity of the enterprise by holding partnership shares. The shareholding platform does not engage in any business activities other than shareholding. Generally applicable to design institutes with more than 50 shareholders and employees.
設計院可根據股東數量綜合確定持股方式,選擇設立有限合伙企業作為持股平臺的,有限合伙企業設1名普通合伙人,擔任執行事務合伙人。一般由設計院的高層管理人員擔任有限合伙企業執行事務合伙人。

為規范股權管理,設計院可以組建員工股權管理委員會負責員工股權的日常管理,應制定管理規則,代表持股員工行使相應的股東權利,維護持股員工合法權益。管理委員會就員工股權的日常管理、動態調整和退出、違約、爭議解決等問題制定合伙人協議,與持股員工協商一致后,經董事會通過后執行。

當員工崗位出現升職時,堅持“以崗定股”的原則,在有多余股份的情況下,按照新崗位對應股份配股,股權轉讓價格根據上一年度公司凈資產價值確定。如果暫時沒有多余的可供分配的股份,則當變化幅度達到一定程度后,再統一重新分配股份進行調整。當員工持股額度有富余時,應考慮吸收新對象加入持股員工范圍。
